Welcome to Formgic! These Terms of Service (also referred to as our Terms and Conditions) (“Terms”) govern your access to and use of the Formgic website (formgic.com), your purchase of Formgic software licenses, and your use of the Formgic WordPress plugin (collectively, the “Service”).
By purchasing our software, creating an account, or using our website, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our website or purchase our plugin.
1. Structure & Nature of Service
- The Software: Formgic provides a downloadable, native WordPress conversational form builder plugin built using an advanced react framework.
- Self-Hosted Architecture: You acknowledge that Formgic is a self-hosted tool. The plugin runs entirely on your own server infrastructure and saves form entry data directly inside your local WordPress database. Formgic does not track, sell, or monitor your form submissions.
- Account Eligibility: You must be at least 18 years old or the age of majority in your jurisdiction to purchase a license or use this Service.
2. Split Licensing & Software Usage
Formgic is sold exclusively as a premium software product and operates under a Split License structure to respect both open-source frameworks and our proprietary innovations:
- The Open-Source Component: All PHP code files and server-side scripts within the Formgic WordPress plugin are licensed under the GNU General Public License (GPL) version 2 or later.
- The Proprietary Component: All non-PHP assets including but not limited to the compiled JavaScript/React codes, front-end styling sheets (CSS), user interface designs, visual layouts, templates, and multimedia assets are strictly proprietary. You are granted a non-exclusive, non-transferable, revocable license to run these assets solely on the number of domains authorized by your purchased license tier.
- Restrictions on Proprietary Assets: You may not copy, reverse-engineer, redistribute, resell, or repackage the proprietary front-end layout interface, styles, or brand assets to launch a standalone competitor or public derivative software tool.
- Template Export Framework: Exporting a conversational form layout framework from your dashboard generates a structural configuration file. While you retain full ownership of the text, conditional choices, and logic sequences you created inside that specific framework, the underlying operational parameters that render the flow remain the intellectual property of Formgic.
- Partner Bundles, Combos, and Third-Party Collaborations: From time to time, Formgic may be offered or distributed as part of a promotional package, bundle, or dynamic product combo alongside partnered websites, external plugins, or third-party WordPress themes. We maintain zero ownership, control, or oversight regarding those external companies or their software assets. Formgic is entirely exempt from liability regarding your usage of companion products, and you are highly encouraged to independently review the respective terms of service and privacy policies of our promotional partners.
3. Digital Advertising Networks & Tracking
- Advertising & Tracking Pixels: When we run digital promotional campaigns, our website utilizes standard analytics tracking scripts, software development kits (SDKs), and conversion pixels (such as those from Google, Meta/Instagram, LinkedIn, and Reddit etc.). This technology automatically tracks website visits, page views, and specific actions taken on our site (like clicking a checkout button or starting a trial) so we can measure marketing performance and optimize our outreach.
- Retargeting Networks: We partner with third-party ad platforms including Google Ads, Meta (Facebook/Instagram), LinkedIn Ads, and Reddit Ads to display targeted advertisements across the internet based on your past visits to formgic.com. These networks use standard cookies and device identifiers to serve our ads to you on external websites, forums, and social media feeds. You can control how these platforms market to you by managing your ad preferences inside your individual account settings on those networks, or by visiting the global Network Advertising Initiative opt-out portal.
4. Third-Party Integrations & External Content
Formgic features native hooks and integrations allowing data transfer to external services (such as automation platforms like Zapier or n8n, CRMs, and email marketing providers), as well as embedded media layers.
- No Endorsement or Liability: We do not control, monitor, or maintain third-party services. You acknowledge that Formgic is not liable for data loss, service API modifications, or disruptions caused by external integrations connected to your forms.
- Compliance with Third Parties: You agree to comply with the terms of service and privacy policy of any third-party app or API platform you bridge with your Formgic installation.
5. Payment, Billing, & Subscription Terms
- Billing Infrastructure: Transactions are securely routed through our payment partners, which may include Merchants of Record (such as Lemon Squeezy or Paddle) or direct payment gateways (such as Stripe or PayPal).
- Global Tax Compliance: If transactions are processed by an MoR, they act as the legal merchant and apply local VAT/Sales Tax based on your global location.
- Automatic Recurring Billing: For all active yearly or recurring subscription plans, our integrated payment gateways and Merchants of Record are authorized to automatically charge your saved payment method upon the expiration of your billing cycle to maintain your access to updates and support.
- Price and Plan Modifications: We reserve the right to change, modify, or completely remove pricing tiers, plans, or lifetime deals at any time without prior notice or public explanation. However, any price changes or plan retirements will not impact active subscriptions, you will continue to enjoy all the features and benefits guaranteed at your time of purchase until your subscription is cancelled or expires.
6. Refund Policy & Processing Timelines
- 30-Day Refund Policy: We offer a 30-day money-back guarantee from your original date of purchase if you encounter technical issues that cannot be fixed, or for any other reason. Once 30 days have passed from the original purchase date, no refunds will be issued under any circumstances. To request a refund, you must contact our support team at support@formgic.com within this 30-day window.
- Post-Refund Window Liability: Once the 30-day refund window has closed, no refunds will be issued for any reason under any circumstances. This policy remains absolute even if a subsequent software bug, system update, or unforeseen environment conflict causes performance drops, slow rendering, or structural errors on your website.
- Technical Maintenance and Resolution Timeframes: We continuously maintain our software and always endeavor to investigate and resolve technical bugs as quickly as possible. However, you acknowledge that certain environment-specific conflicts or deep hosting limitations may be entirely unfixable, and other standard software fixes or compatibility patches may require extended periods of time to deploy due to internal operational and development testing cycles.
- Processing Timeline: Once a valid refund request is approved, the refund will be initiated from our end within 1 to 30 working days. After we have successfully processed and initiated the refund, it may take up to an additional 7-10 working days for the transaction to clear and reflect in your bank account or payment method.
- Exclusions to Refunds: Refunds are not applicable to automated subscription renewals or subsequent re-purchases of the software. It is your sole responsibility to cancel your subscription before your renewal date if you do not wish to be rebilled.
- Dispute and Chargeback Mitigation: You agree to exhaust all reasonable communication channels with our support team to resolve billing errors or refund requests prior to initiating a formal dispute or chargeback with your financial institution or Merchant of Record. If an unannounced chargeback is filed in bad faith for a transaction that falls outside our structural 30-day window, we reserve the right to immediately and permanently revoke your active license key, suspend product update pipelines, and provide this agreed agreement along with validation logs to the payment network to resolve the inquiry.
7. Licensing, Support, & Product Lifecycle
- Definition of “Lifetime” and Product Lifecycle: Any reference to a “Lifetime” license or plan refers explicitly to the operational lifespan of the software product itself, rather than the lifetime of the purchaser or the founders. We reserve the right to gracefully conclude or sunset the product lifecycle at our sole discretion. Furthermore, under exceptional circumstances or strategic shifts, we reserve the right to completely change the product name, rebrand the website, or transition the software asset to a new entity without any liability or obligation to issue refunds. In the event of a product name change or corporate rebranding where the core software utility continues to be maintained under our operation, your active license tier will carry over to the rebranded product without requiring an additional purchase.
- License Key Activation & Updates: Because Formgic is a premium tool, access to automatic software updates, premium pre-made templates, and customer support requires an active, valid license key. Our servers periodically validate your license key status and active domain name. We reserve the right to block update delivery to license keys found to be shared publicly or used on unauthorized domains beyond your purchased tier limit.
- Support Availability and Response Times: We are committed to assisting our users and always endeavor to provide reliable technical support. While our standard goal is to respond to all valid support inquiries within 7 business days, you acknowledge that response times may occasionally be extended beyond this window due to high ticket volumes, holidays, or internal operational maintenance.
8. Acceptable Use and Your Data Responsibility
Because Formgic gives you complete control over your form data ecosystem, you assume full responsibility for your deployment.
- Data Controller Status: You are the sole Data Controller of any data generated, captured, or transmitted through the forms you deploy. You must maintain your own compliant Privacy Policy if you capture personally identifiable information (PII).
- Conversational Deception & Phishing: You are strictly prohibited from configuring your flows to impersonate specific financial institutions, government entities, or other brands to deceive end-users. Forms designed intentionally to mimic conversational banking, verification loops for identity theft, or unauthorized credentials scraping will result in immediate and permanent license termination without a refund.
- Prohibited Uses: You agree not to use Formgic to build forms that violate global laws, host deceptive forms designed to unlawfully capture user credentials, deploy illegal gambling entry points, or collect restricted medical or financial records without appropriate security frameworks. Engaging in deceptive practices to unlawfully obtain data from end-users will result in immediate and permanent license termination without a refund.
- System Resource Integrity: Formgic loops dynamic data directly through webhooks and third-party APIs based on your flow logic. If an unoptimized logic configuration in your self-hosted setup causes continuous submission loops toward external endpoints, you bear full operational and financial liability for those API costs or overages.
- Server Resource Overload & Lead Drops: Formgic processes conversational flow logic on your server infrastructure. We are not responsible or liable for server downtime, database locking, memory exhaustion, or dropped form submissions caused by high-volume traffic surges, unoptimized hosting environments, or inadequate database indexing on your WordPress site.
- Indemnification: You agree to indemnify, defend, and hold harmless Formgic, its founders, and its affiliates from and against any third-party claims, legal actions, liabilities, operational damages, or financial losses arising from the content, nature, or legality of the data you capture using our forms, or your violation of applicable local data protection frameworks.
9. Intellectual Property
All content, design assets, brand logos, code, UI text, graphics, and documentation visible on formgic.com or embedded natively within the core plugin architecture are the exclusive intellectual property of Formgic. You may not scrape our templates or copy our website layouts for commercial redistribution.
10. Warranty Disclaimer & Operational Risk
THE SERVICE AND PLUGIN ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. FORMGIC DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLUGIN WILL BE COMPLETELY ERROR-FREE, COMPATIBLE WITH EVERY THIRD-PARTY THEME OR PLUGIN COMBINATION, OR UNINTERRUPTED.
- Front-End Script Compatibility: Because Formgic relies on client-side React execution, its performance depends on your website’s theme, optimization settings, caching configurations, and potential JavaScript conflicts with other active plugins. We do not guarantee that the conversational engine will execute properly under unoptimized environments, and we are not liable for any lost revenue, lost leads, or unsubmitted form flows due to client-side script failures.
- Webhook and Data Delivery Failures: While Formgic provides the structural engine to transmit webhooks and API payloads to third-party automation tools, we do not guarantee 100% delivery success rates. Factors such as server timeouts, host-level blocking, or remote API changes can cause webhooks to fail. You acknowledge that Formgic is not liable for any financial or operational damages resulting from delayed, dropped, or corrupted data payloads passing from your forms to external applications.
11. Limitation of Liability & Environment Security
THE SERVICE AND PLUGIN ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORMGIC, ITS FOUNDERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR SERVER DOWNTIME, ARISING OUT OF YOUR USE OF THE WEBSITE OR PLUGIN.
- No Liability for Security Breaches: While we follow industry security standards, Formgic operates entirely within your own self-hosted WordPress database. In the event of a security breach, unauthorized access, server compromise, unauthorized system modifications or due to any reason whatsoever, Formgic, its founders, and its affiliates are completely exempt from liability for any data loss, financial damages, or compromised user entries.
- Your Responsibility to Backup: You are strictly required to keep your server environment secure, implement active firewalls, and perform regular backups of your WordPress database.
- Server Resource Management: Formgic processes conversational flow logic locally on your server. We are not responsible or liable for hosting downtime, memory limits, or dropped form submissions caused by sudden traffic surges or inadequate server resource allocation on your site.
- Cap on Liability: To the maximum extent permitted by applicable law, our total aggregate liability for any operational, software, or legal claim will never exceed the exact amount you paid us for your active software license.
12. Governing Law and Jurisdiction
These Terms, your purchase, and any dispute or legal claim arising from your relationship with Formgic shall be governed by and construed in accordance with the laws of the Republic of India, without regard to conflict of law principles.
You explicitly agree that any legal actions, arbitration proceedings, or courtroom disputes will be handled exclusively by the competent courts located within the jurisdiction of our registered business location in India.
13. Changes to These Terms
We reserve the right to modify or replace these Terms at any time. When modifications occur, we will update the “Last Updated” date at the very top of this page. It is your responsibility to review this page periodically for updates. Continued use of our website or software after modifications constitutes agreement to the updated Terms.
